# Lannore Creator Terms

**Version:** `2026-10-14.1` (replaces `2026-10-09.1`)
**Language:** English (source text). The German version has the same content; both are equally binding.
**Provider:** RPK Digital Solutions GbR, operating the AGIMetis brand and the Lannore product, Ludwig-Quidde-Straße 5, 13127 Berlin, Germany, represented by its partners Ramin Khorsandi and Parisa Khayamdar ("Lannore", "we", "us")
**Contact:** contact@agimetis.com
**Status:** prepared on 2026-10-14 after an AI-assisted legal review that the founders delegated. It applies to every film submitted, and every Creator Pro subscription started, after its publication in the app.

These Creator Terms apply in addition to the Lannore Terms of Use when you use
Lannore as a creator. They govern your creator profile, the submission and
publication of films, your earnings and payouts, and Creator Pro.

## 1. Parties, scope and order of documents

1.1 "You" is the person or organisation that holds the creator profile and
submits films. If you act for an organisation, you confirm that you may bind
it; the organisation is then the creator, and you are responsible with it for
the information you give.

1.2 You must be at least 18 years old and of legal age to enter into contracts
where you live. You may not use Lannore as a creator if you, or an
organisation you act for, are listed on a sanctions list of the United
Nations, the European Union, the United Kingdom or the United States, or if
you live in a country in which Lannore is not offered (Terms of Use, section
1.5).

1.3 For each accepted film, the Film Licence Schedule you accept when you
submit it and the rights declaration you make for it form a separate licence
agreement ("film licence"). Where documents differ, this order applies: the
film licence, then these Creator Terms, then the Terms of Use. Your own terms
and conditions do not apply, even if we do not object to them.

1.4 If you use Lannore in the course of a trade, business, craft or profession
("business creator"), section 15 also applies. Otherwise you use Lannore as a
consumer, and the consumer protections of the Terms of Use, including section
17, apply to your purchases, in particular to Creator Pro.

1.5 Nothing in these terms creates an employment, agency, partnership or joint
venture. You act independently and in your own name.

## 2. Creator profile and team

2.1 Your creator profile is part of your Lannore account. Its information must
be accurate and up to date, in particular your legal name or company name,
your country, your contact address and, for payouts, the details the payout
provider or our bank transfer needs (section 9).

2.2 You may invite team members to your profile within the seats of your plan.
You decide which roles they hold. Everything a team member does in your
profile is attributed to you, and you are responsible for it as for your own
conduct. Remove a team member's access as soon as it is no longer needed.

2.3 Keep non-public information confidential: unreleased films, screener
links, review communications, other creators' materials and statements. This
does not apply to information you must disclose by law or that we have made
public.

## 3. Submission and editorial review

3.1 Submitting a film, the editorial review and publication are free. Lannore
is a curated platform: we decide, at our editorial discretion, whether we
accept a film, and whether, when, where and how we present it. Neither a
submission nor Creator Pro gives you a right to acceptance, publication,
placement, promotion, a particular audience, revenue or an Award.

3.2 We consider in particular artistic quality, originality, the craft of the
film, the fit with the programme, the technical quality of the delivered
master, the completeness and credibility of the rights information, legal and
safety risks, and the capacity of our programme. We may ask you for changes,
further material, evidence or a different age classification before we decide.

3.3 We tell you our decision in your creator dashboard. If we decline a film,
we tell you the main reason. You may submit a revised version once the reason
has been addressed.

3.4 You keep a copy of every file you upload. Lannore is not an archive. Even
where Creator Pro includes a private archive for masters, you must keep your
own backup; section 13.4 applies to the loss of data.

## 4. Your rights declarations

4.1 For each film you declare which rights you hold and in which territories,
for which period and for which modes of exploitation (free, free with
advertising or sponsorship, rental, premiere, credits and passes, Lannore
Plus, organisations). You confirm that:

- you own or control all rights needed for the film licence, including the
rights in the film itself, the screenplay, music and sound recordings,
performances, the likeness and voice of people shown, trademarks, artworks,
  archive material, subtitles and marketing material;
- every person who has a claim to remuneration for the film has been paid or
will be paid by you, and the use by Lannore under the film licence requires
no further consent or payment by Lannore, except remuneration that only a
  collecting society may claim from Lannore by law;
- the film and its marketing material do not infringe the rights of anyone and
do not violate the law of a territory you licensed, in particular on
  defamation, privacy, the protection of minors, hate speech and advertising;
- you have disclosed every material use of artificial intelligence that
generated or replaced picture, voice, music or performers, have the rights
needed for it, and have declared whether the film contains a deepfake, that
is realistic images, sound or video generated or manipulated with artificial
intelligence that resemble real people, objects, places or events and could
  appear authentic;
- your answers to the youth protection questionnaire are accurate and
  complete.

4.2 You keep the evidence of your rights (contracts, licences, releases, cue
sheets, music reports) for as long as the film is available on Lannore and for
three years afterwards, and provide it to us within 10 working days on
request.

4.3 You tell us without delay if a declaration becomes incorrect, if a right
ends or is challenged, or if you receive a complaint about the film.

## 5. The licence you grant

5.1 The film licence defines the rights you grant for each film. Unless it
expressly states otherwise, the licence is non-exclusive and limited to the
territories, period and modes of exploitation you chose. It allows Lannore to
store, encode, transcode, secure and stream the film; to create the technical,
accessibility and format versions needed for that, including subtitles and
audio description; to offer the film to viewers and organisations in the
chosen modes; and to use the approved title, credits, synopsis, stills,
poster, trailer and other approved marketing material to present and promote
the film and Lannore, including in newsletters, on social media and in
advertising.

5.2 We may engage service providers to exercise these rights for us (for
example for storage, streaming, payments and subtitling), and we may grant
merchants of record and app stores that sell access to viewers in their own
name the rights they need for that. Beyond that, we do not sublicense the film
to third parties unless the film licence allows it. You do not transfer
ownership of any right to us.

5.3 After the film licence ends, we may keep using marketing material that we
published while it was in force, as part of archived content (for example
past newsletters, social media posts or Award results), but we do not create
new promotion for the film.

5.4 Viewers who acquired access during the licence period keep it for the
period they bought (for example an ongoing rental or a premiere replay). The
licence continues for that purpose.

5.5 **Lannore Plus.** Licensing Lannore Plus is a permission, not a promise
of inclusion. We decide separately whether your film joins Plus, from when,
until when and in which licensed countries, and may end its inclusion at any
time; the film can stay available for rent. You can withdraw the permission
with the notice period of the film licence.

5.6 **Portability.** The film licence contains the authorisation under Article
5(4) of Regulation (EU) 2017/1128, so that viewers can watch the film while
temporarily present in another member state of the European Union without a
residence check.

## 6. Content rules and age classification

6.1 Your films and material must comply with our Community Guidelines and our
Youth Protection Policy. Lannore does not accept pornographic content, content
that glorifies violence or war, content that violates human dignity, or any
content that is unlawful in Germany or in a territory you licensed.

6.2 For each film you answer our youth protection questionnaire: your own
age assessment, the content concerned and any official rating (for example by
the FSK, the BBFC or the MPA) with its reference. We rate every film before we
accept it, as our Youth Protection Policy describes; we may assign a stricter
rating, escalate a borderline case, limit a film to certain territories or make
it unavailable where the law requires it. Films rated 18 or harmful to minors
are published only behind a reliable age verification.

## 7. Moderation, restrictions and complaints

7.1 Lannore is a hosting service. We may restrict a film, a profile or your
earnings where this is necessary because of an unlawful or rights-infringing
film, a breach of these terms, a credible complaint, a legal or official
order, a requirement of a payment or app store provider, suspected fraud or
manipulation, or a risk to the security of the service. Restrictions include
requesting changes, adding a warning, limiting a film to certain territories,
removing it from discovery, pausing new sales, suspending it and withholding
earnings connected with the issue.

7.2 We choose the mildest measure that is sufficient. We tell you of every
restriction with a statement of reasons that names the facts, the rule
concerned and the means of redress, at the latest when the restriction takes
effect, unless the law or an official order forbids it.

7.3 You can object to every decision within six months under "Decisions and appeals" in
your account or by email to contact@agimetis.com. A
person who was not involved in the original decision reviews the complaint
and tells you the result with reasons. You may also use the out-of-court
dispute settlement bodies certified under Article 21 of the EU Digital
Services Act, and you remain free to go to court.

7.4 If a rights holder notifies us that your film infringes their rights, our
Copyright and Takedown Policy applies. We may pass on your name and contact
address to the claimant where this is necessary for them to pursue the claim
against you and the law allows it.

7.5 While a film is restricted because of a credible complaint about its
rights, we may hold the earnings from that film until the matter is resolved.
If the complaint proves unfounded, we pay out the held earnings with the next
payout run.

## 8. Earnings

8.1 Lannore provides access to films to viewers and organisations. Access is
sold either by RPK itself, by a merchant of record that sells in its own name,
or by an app store; the seller is shown to the viewer in each checkout. You are
never the seller to viewers. We set the end prices within the price tiers we
publish and decide on discounts, trials, credits and promotions. You receive a
share of the Content Net Revenue from your films.

8.2 **Content Net Revenue** is the amount that Lannore actually receives for
the use of your film, from viewers and organisations or, where a merchant of
record or an app store sold the access, from that seller, less value added tax
and similar taxes, refunds, chargebacks, and the fees of the payment provider,
merchant of record or app store that are directly attributable to the
transaction. We deduct no other costs.

8.3 Your shares of Content Net Revenue are:

| Source | You | Lannore |
|---|---:|---:|
| Rentals and premiere tickets for your film | 80% | 20% |
| Tips to you | 90% | 10% |
| Advertising and sponsorship attributed to your film | 60% | 40% |
| Lannore Plus pool | 50% of the pool | 50% |

For rentals and tickets redeemed with credits or passes, the Content Net
Revenue is the share of the price of the credit or pass that is allocated to
the redemption, as shown in your statement.

For advertising and sponsorship, the base is the net fee Lannore receives for
advertising delivered with your film, or the net sponsorship fee received for
your film, less only an amount the sponsor expressly agreed to finance the
streaming of a free film, which is not shared. Lannore's own campaign costs are
not deducted. General advertising on Lannore that is not attributed to a film
is not shared; a creator who advertises receives no share of their own
campaign.

8.4 **Plus pool.** For each calendar month and currency, 50% of the Content
Net Revenue from Lannore Plus forms the creator pool. It is divided among the
films in the Plus catalogue in proportion to their qualified watch time in
that month. Qualified watch time is the time Plus members watched a film, as
measured by our servers, counted for each member, film and day at most up to
the running time of the film. Viewing that our fraud checks flag, traffic we
exclude as automated, and viewing by members whose Plus payment for that
month was refunded or disputed do not count. We calculate the pool after the
month has ended and the payment data has been reconciled.

8.5 Shares are agreed for each transaction under the version of these terms
that applied when the transaction took place. A change to the shares never
applies to completed transactions.

8.6 Creator Pro, advertising, sponsorship and Awards do not influence acceptance,
placement, ranking, recommendation or Award results (section 15.4).

8.7 **Tax information.** In your creator profile you tell us who receives the
payments, your legal form, your country of residence, your VAT status and, if
you live outside Germany, whether you hold an exemption certificate. You
confirm that this information is correct and tell us without delay when it
changes. If you are resident outside Germany, German law may require us to
withhold tax on licence payments (section 50a of the German Income Tax Act,
currently 15 percent plus solidarity surcharge) unless you hold an exemption
certificate or a threshold applies; we show the withholding in your statement
and give you the certificate for it. Where German law requires a contribution
to the artists' social insurance (Künstlersozialkasse) on payments to you, we
pay it ourselves and do not deduct it from your share.

8.8 **Taxes.** Your shares are net amounts. If you are a business creator
liable to charge value-added tax on the licence and you have given us a valid
VAT identification number, we add the VAT you must charge. Where the reverse
charge applies, you invoice without VAT. We settle by self-billing: our
statement is the invoice for your licence (credit note, "Gutschrift"), and you
agree to this. Tell us without delay if your tax status changes; you bear the
consequences of incorrect information. You are responsible for declaring and
paying the taxes on your earnings. We withhold taxes where the law requires
it and may ask you for tax forms or residence certificates for that purpose.

## 9. Statements and payouts

9.1 We provide a monthly statement in your creator dashboard with the
transactions, refunds, chargebacks, shares, deductions and your balance.

9.2 New earnings are provisional for 30 days, so that refunds and chargebacks
can be settled. After that they become available and are payable once the tax
information of section 8.7 and your payout details are complete. We pay out
once a month when your payable balance is at least EUR 50 (or its equivalent in your payout
currency); smaller amounts are carried forward. When a creator relationship
ends, we pay out the remaining balance regardless of the minimum.

9.3 Payouts are made through a payout provider, currently Stripe Connect, or,
where we offer it in your country, by SEPA bank transfer to an account in the
name of the payee. For Stripe Connect, you open a Stripe account through our
onboarding, accept the Stripe Connected Account Agreement, and Stripe verifies
your identity and bank details; currency conversion and Stripe's payout fees
are borne by you where Stripe charges them to your account. For a bank
transfer, you give us the account holder and IBAN, and we verify them before
the first payout. Until a payout route is available and verified for you, your
balance is kept and carried forward; earnings that accrued earlier are not
changed when the payout route changes.

9.4 Refunds and chargebacks of transactions for which you already received a
share reduce your balance. A negative balance is offset against new earnings
for 30 days. If it is still open after that, we invoice it with a payment
period of 14 days. While an overdue balance remains open, we may pause new
monetisation and payouts.

9.5 Please check each statement. If you do not object to a statement within
three months of its publication, it is deemed approved; we point this out in
each statement. Your statutory claims for corrections based on facts you
could not recognise remain unaffected.

9.6 We hold a payout, and tell you why, while: tax information under section
8.7 is missing (tax hold); your identity or bank details are not verified
(verification hold); a sanctions check is open (sanctions hold); a rights
complaint under section 7.5 is open (rights hold); or your balance is below the
minimum (minimum hold). We may also withhold a payout where we have specific
indications of fraud, manipulation of watch time or votes or money laundering,
until they have been cleared. We may set off our claims against you against
your balance.

## 10. Creator Pro

Creator Pro is an optional paid plan with additional workflow features for your
creator profile. It is governed by the Creator Pro Terms. Creator Pro has no
influence on editorial decisions, discovery, ranking, earnings or Awards.

## 11. Screeners and private links

11.1 Screeners are personal, time-limited links for named recipients, for
example festivals, press and buyers. You decide who receives a screener and
are responsible for having a legitimate reason to share the recipient's email
address with us. We send the invitation on your behalf.

11.2 Screeners may be watermarked to deter leaks. A watermark does not
guarantee that a film is not copied, and we are not liable for copies made by
recipients, unless we caused them through a breach of our duties.

## 12. Withdrawing a film and ending the relationship

12.1 You can withdraw a film from Lannore with 30 days' notice in your
creator dashboard or by email, unless the film licence provides a different
period. New sales end when the withdrawal takes effect. Section 5.4 applies
to access acquired before.

12.2 If a film must be withdrawn sooner because a right has ended or been
successfully challenged, tell us at once; we withdraw it as soon as possible.
You are responsible for the consequences of a right ending earlier than you
declared, unless you are not at fault.

12.3 You can end these Creator Terms at any time by withdrawing all your films
and deleting your creator profile. We can end them with 30 days' notice. The
right of both parties to terminate for good cause remains unaffected; good
cause for us includes in particular serious or repeated breaches of sections
4, 6 or 7, fraud, manipulation of watch time or votes, or a legal order.

12.4 After the end, we keep the data we need for accounting, tax, legal
claims, and the evidence of rights and acceptances, for the statutory
retention periods (Privacy Policy). Earnings that accrued before the end are
paid out under section 9.

## 13. Liability

13.1 We are liable without limitation for intent and gross negligence, for
injury to life, body or health, under a guarantee, and under the Product
Liability Act or other mandatory law.

13.2 For slight negligence, we are liable only for breaches of an essential
contractual obligation, that is an obligation whose fulfilment makes the
proper performance of the contract possible in the first place and on whose
fulfilment you may regularly rely. Our liability is then limited to the
damage that was foreseeable and typical when the contract was concluded.

13.3 Otherwise, our liability is excluded. In particular, we do not
guarantee that your film will be accepted, published, recommended or watched,
or that it will earn a certain amount, and Lannore may be temporarily
unavailable for maintenance, security or reasons beyond our control.

13.4 For the loss of data, we are only liable for the effort that would have
been needed to restore it from the backup that you are required to keep
(section 3.4).

13.5 You indemnify us against claims that third parties assert against us
because a declaration under section 4 was incorrect or because your film or
material infringes their rights or the law, including the reasonable costs of
our legal defence. This applies only if you are responsible for the breach.
We inform you of such a claim without delay, give you the opportunity to
comment, and do not acknowledge it without your consent unless you do not
respond within a reasonable period.

13.6 These limitations also apply to the personal liability of our partners,
employees and agents.

## 14. Changes to these terms

14.1 We may change these terms with effect for the future, for a valid reason
such as a change in the law, in case law, in our services or in the market,
or to close a gap. We tell you of a change at least 15 days before it takes
effect, by email and in your creator dashboard, and explain what changes. A
longer notice period applies where a change requires you to adapt your films
or material, and we give you that time.

14.2 You may terminate these Creator Terms before the change takes effect.
If you continue to submit films or accept payouts after the change took
effect, you accept the change; we point this out in the notice. Changes to
your shares never apply to completed transactions (section 8.5), and a change
does not change an existing film licence without your consent.

## 15. Business creators: fair governance

Lannore licenses films and sells access to them itself or through the sellers
named in section 8.1; creators do not offer goods or services to viewers
through Lannore. Lannore is therefore not an online intermediation service
under Regulation (EU) 2019/1150 (the "P2B Regulation"). We nevertheless apply
the following rules to business creators voluntarily. Should our model change
so that the P2B Regulation applies, these rules continue and are supplemented
as it requires.

15.1 **Restriction, suspension, termination.** Section 7 describes when we
restrict or suspend your films or profile and how you are told. We end the
provision of our services to you entirely only with at least 30 days' notice
and a statement of reasons, unless the law or an official order requires us
to end them sooner, or you have repeatedly breached these terms, in which
case we tell you the reasons without delay.

15.2 **Complaints.** You can complain free of charge about every decision and
about technical problems or other matters relating to our services under "Decisions and appeals" in your account or by email to contact@agimetis.com (section 7.3). Lannore is a small enterprise and is
therefore not required to name mediators; if you want mediation, we will
consider it in good faith.

15.3 **Main parameters for ranking.** Rows and collections on the home and
Discover pages are selected and ordered by our editorial team; only films that
the editorial team has released for discovery appear there. In search
results, films are ordered by how closely their title matches the search term
(the same title first, then titles beginning with it, then titles containing
it, then matches in other details such as the creator's name), and then
alphabetically. Rows based on a viewer's own activity, such as "Continue
watching" and the watchlist, follow that viewer's activity. Which films a
viewer sees at all also depends on their country, the licensed territories and
the age classification. Award results follow the Award Rules. No one can pay
for a better position.

15.4 **No paid influence.** Neither Creator Pro, advertising, sponsorship, nor
any other payment to Lannore influences acceptance, ranking, recommendation,
Award results or your shares.

15.5 **Differentiated treatment.** Lannore does not offer its own films in
competition with yours. We apply the same rules to all creators. Differences
in presentation follow from editorial decisions, the licences granted and the
rules in this section.

15.6 **Access to data.** You receive in your creator dashboard aggregated
data about your films: views, qualified watch time, completion rates,
transactions and earnings by country and period, and Award results. You do not
receive personal data of viewers, except data that a viewer expressly shares
with you (for example as a screener recipient or a supporter who agreed to it).
Lannore uses data from all films to operate and improve the service, to
recommend films and to prevent fraud; we do not pass it on to third parties
except service providers and where the law requires it.

15.7 **No parity clauses.** You are free to offer your films elsewhere, on
other terms and at other prices, unless you agreed to an exclusive window in
the film licence.

15.8 **Ancillary goods and services.** We do not offer ancillary goods or
services to viewers together with your films.

15.9 **Venue.** For business creators, the exclusive venue for all disputes
arising from these terms is Berlin, Germany. We may also sue at your general
venue.

## 16. Applicable law and final provisions

16.1 German law applies, excluding the UN Convention on Contracts for the
International Sale of Goods. If you are a consumer, this choice does not
deprive you of the protection of the mandatory law of the country where you
live; sections 16 and 17 of the Terms of Use apply.

16.2 You may transfer rights and obligations under these terms only with our
consent; we will not refuse it without good reason. Section 15 of the Terms of
Use applies to a transfer by us.

16.3 If a provision is invalid, the rest of these terms remains valid; the
statutory provisions apply in its place.

16.4 Notices to you are sent to the email address of your creator profile.
Notices to us go to contact@agimetis.com.
