# Lannore Purchase Terms for business customers

**Version:** `2026-11-03.1` (replaces `2026-11-01.1`)
**Language:** English (source text). The German version has the same content; both are equally binding.
**Seller:** RPK Digital Solution GbR Khorsandi Khayamdar, operating the AGIMetis brand and the Lannore product, Ludwig-Quidde-Straße 5, 13127 Berlin, Germany, represented by its partners Ramin Khorsandi and Parisa Khayamdar ("RPK", "we", "us")
**Contact:** contact@agimetis.com
**Status:** Applies from its publication in the app.

These purchase terms apply when you buy from RPK as a business, in particular
advertising campaigns on the web and creator services. They supplement the
Lannore Terms of Use and the terms of the product (the Advertising Terms and
Advertising Policy). Businesses buy Creator Pro on the web from Link (Creator
Pro Terms, section 2) and advertising budgets in the app through Google Play
(Advertising Terms, section 4.4). Where they
differ, these purchase terms prevail for the purchase. RPK sells these offers
only to businesses, never to consumers.

## 1. Who may buy

1.1 You buy in the course of your trade, business or profession (as a
"business customer"). You confirm this in the checkout. Creators who buy
services for their films act as businesses.

1.2 You state the name and address of your business and the country in which
it is established. A business established in a member state of the European
Union other than Germany must give a valid VAT identification number; we
verify it with the VAT Information Exchange System of the European Commission
(VIES) and repeat the check after 90 days. Without a confirmed number, the
purchase is not possible.

1.3 We may refuse a purchase, in particular if the details are incomplete or
cannot be verified.

## 2. How the contract is concluded

2.1 Before you pay, Lannore shows you the product, the price, the tax and RPK as seller. You continue to the payment page, which
Stripe operates for RPK; there you can still check and correct your entries.

2.2 By pressing the button that states your obligation to pay, you make a
binding offer to RPK. RPK accepts it by confirming the purchase on screen or by
email, or by providing the service, whichever happens first. For an
advertising campaign, RPK first reviews the campaign as described in the
Advertising Terms.

## 3. Prices, tax and invoice

3.1 The checkout shows whether VAT is added to the price or included in it.
For businesses established in Germany, RPK charges German VAT (currently 19
percent). For businesses in another member state of the European Union with a
confirmed VAT identification number, the reverse charge applies: RPK invoices
without VAT, and the tax is owed by you. For businesses established outside
the European Union, RPK invoices without German VAT; any tax that applies in
your country is your responsibility.

3.2 RPK issues one invoice for every purchase. It is created through RPK's
Stripe account and names your business, its address and, where given, its VAT
identification number, and for the reverse charge the corresponding note. You
receive it by email and find it in your account.

## 4. Payment

4.1 The payment is processed for RPK by Stripe Payments Europe, Limited,
1 Grand Canal Street Lower, Dublin 2, Ireland. Stripe is not a party to your
purchase. You can pay with the methods shown on the payment page; purchases are charged at once.

4.2 If a payment fails, Stripe tries again. Until the payment has been made we may suspend the service concerned.

## 5. No right of withdrawal; refunds

5.1 The statutory right of withdrawal for consumers does not apply to
purchases by business customers.

5.2 Refunds for advertising campaigns follow the Advertising Terms. RPK pays refunds through
Stripe to the means of payment used and issues a credit note.

## 6. Liability, law and place of jurisdiction

6.1 Sections 10 and 16 of the Terms of Use apply. German law applies, excluding the UN
Convention on Contracts for the International Sale of Goods. If you are a merchant, a
legal person under public law or a special fund under public law, the courts of
Berlin, Germany, have exclusive jurisdiction.

6.2 Our liability for slight negligence under section 10.2 of the Terms of Use is
limited, for each purchase, to its net price. This limit also applies to our partners,
employees and agents.

6.3 Your claims against us expire 12 months after the statutory limitation period
begins. This does not apply to the cases in section 10.1 of the Terms of Use.

6.4 You can set off only claims that are undisputed or have been finally established
by a court.
